How to Draft an Assignment of Contract

A contract is an agreement between at least two parties—A and B. However, one party might want to transfer the contract to someone else. For example, B might want to assign its rights and obligations to C. Sometimes, a contract prohibits assignment, in which case B can’t assign the contract to anyone. In other contracts, the other party to the original contract (here Party A) must also agree to the assignment from B to C. If the contract allows assignment, then an assignment can take place once a proper assignment agreement has been created.

Starting the Assignment Agreement

Step 1 Format your document.

  • If you are printing the agreement on letterhead, make sure to leave enough room at the top.

Step 3 Identify the parties.

  • Sample language could read, “This Assignment (‘Assignment’), dated as of [insert date] (‘Effective Date’), is made between [insert your name] (‘Assignor’) and [insert the name of the assignee] (‘Assignee’).” [1] X Research source

Step 4 Include your recitals.

  • Sample recitals could read, “Whereas, Assignor entered into the following Contract with [the name of the party you contracted with, called the ‘obligor’] on [insert date of the contract] (‘Contract’); and whereas Assignor wishes to assign all of its rights and obligations under the Contract to Assignee. Now, therefore, Assignor and Assignee agree as follows.”

Granting the Assignment

Step 1 Assign all rights and obligations.

  • A sample grant could read: “Assignor and Assignee hereby agree that the Assignor shall assign all its title, right, and interest, and delegate all its obligations, responsibilities, and duties, in and to the Contract to Assignee.”

Step 2 Include an acceptance by the assignee.

  • “Assignee hereby accepts the assignment of all of Assignor’s obligations, responsibilities, and duties under the Contract and all of Assignor’s right, title, and interest in and to the Contract.”

Step 3 Explain how to modify the assignment.

  • A sample modification provision could read: “This Agreement may only be modified if the modification is made in writing and executed by both Assignor and Assignee. No verbal agreement is allowed.”

Step 4 Allocate indemnification.

  • The assignor could agree to indemnify the obligor: “Assignor agrees to defend and indemnify [insert name of the obligor] from any and all claims, judgments, actions, proceedings, liabilities, and costs, including reasonable attorneys’ fees and other costs of defense and damages, resulting from Assignor’s performance prior to the assignment of the Contract and resulting from Assignee’s performance after the assignment of the Contract. However, after the assignment of the Contract, [insert name of the obligor] shall first look to Assignee to satisfy all claims, actions, judgments, proceedings, liabilities, and costs, including reasonable attorneys’ fees and other costs of defense and damages resulting from Assignee’s performance.”
  • The assignee should also agree to indemnify the obligor: “Assignee agrees to indemnify the [insert name of obligor] from any and all claims, judgments, actions, proceedings, liabilities, and costs, including reasonable attorneys’ fees and other costs of defense and damages, resulting from Assignee’s performance after the assignment of the Contract.”

Finalizing the Agreement

Step 1 Identify the governing law.

  • You could write, “This Assignment shall be construed and interpreted, and the rights of the parties determined by, the laws of the State of Maine (without regard to the conflicts of law principles thereof or any other jurisdiction).” [2] X Research source

Hasina enters a contract with a national phone company for cell phone service. The company goes into bankruptcy and needs to close its doors but decides to transfer all current contracts to another provider who agrees to honor the same rates and level of service. The contract assignment is completed, and Hasina now has a contract with the new phone company as a result.

Assignment of contract is also used in real estate to make money without going the well-known routes of buying and flipping houses. When real estate LLC investors use an assignment of contract, they can make money off properties without ever actually buying them by instead opting to transfer real estate contracts .

This process is called real estate wholesaling.

Real Estate Wholesaling

Real estate wholesaling consists of locating deals on houses that you don’t plan to buy but instead plan to enter a contract to reassign the house to another buyer and pocket the profit.

The process is simple: real estate wholesalers negotiate purchase contracts with sellers. Then, they present these contracts to buyers who pay them an assignment fee for transferring the contract.

This process works because a real estate purchase agreement does not come with the obligation to buy a property. Instead, it sets forth certain purchasing parameters that must be fulfilled by the buyer of the property. In a nutshell, whoever signs the purchase contract has the right to buy the property, but those rights can usually be transferred by means of an assignment of contract.

Those who have relocated globally can attest to the life-changing nature of an overseas assignment—often requiring that the employee sell a home in addition to moving their family to a new country and changing many of their typical routines. Your employee letter of understanding must cover a number of important topics sensitively but clearly—without increasing already high stress levels.

A letter of understanding outlines the details and benefits of an international assignment. This legally binding document, which all parties must sign, serves as an addendum to the employee’s regular employment contract and lays out any differing terms that apply. In addition to the assignment start and end date, job title, and location, the letter of assignment must specify all contractual agreements, a code of conduct, compensation, assignment-specific benefits such as moving expenses, and any repatriation allowance or tax equalization provided.

The letter of understanding should specify all pertinent details without leaving any room for interpretation. Lack of clarity can lead to misunderstandings and costly mistakes which drain resources and distract the employee, impacting the success of the assignment.

The key to drafting effective letters of understanding begins with knowing your employees and focusing on their needs and their families’ needs. You may find sample templates online to help you draft a letter of understanding, but unfortunately, many of them begin like this:

Discuss the Global Relocation or Assignment First

Having a detailed discussion provides an opportunity to create enthusiasm about a new role by:

  • Providing a platform to discuss your global mobility policy and company-provided financial assistance
  • Clarifying the specific skill-building and learning opportunities available in the new role
  • Showing that the company values the employee and wants to make an investment in his or her future
  • Demonstrating that the employee is important to the growth of the business

Holding a preliminary discussion shows respect for the employee and allows you to craft a letter tailored to that individual. In turn, this will likely increase loyalty and productivity and reduce the chance of a declined relocation offer.

Outline the New Role

Your employee’s job title and responsibilities may remain the same in the new location. If so, make sure the letter of understanding includes the name of the person to whom the employee will report and the duration of the transfer or assignment. For employees taking on new responsibilities, you’ll also want to include the following:

  • The employee’s new job title or position
  • A description of any increased benefits, salary or bonuses

Similar in some ways to an employment offer letter, this portion of the letter of understanding focuses on the specifics of the new role. It documents the job title, salary, and related benefits to eliminate misunderstandings. The appropriate manager should sign and date the letter, and it should include the:

  • Employee’s full name and current home address.
  • Department names — both the current department and the new destination department.
  • Effective date the employee should report to the new location.
  • Anticipated end date in the case of an assignment.
  • Name of the employee’s new manager.
  • Expiration date for the individual’s relocation and assignment benefits.

  • Writing an assignment takes time, more time than you may expect.  Just because you find yourself spending many weeks on an assignment doesn’t mean that you’re approaching it in the wrong way.
  • It also takes time to develop the skills to write well, so don’t be discouraged if your early marks aren’t what you’d hoped for.  Use the feedback from your previous assignments to improve.
  • Different types of assignments require different styles, so be prepared for the need to continue to develop your skills.

Your assignment needs to be targeted .  It should:

  • Be focused on the questions and criteria
  • Make a decision
  • Follow an argument

Your assignment needs to be in-depth .  You should consider your questions and criteria thoroughly, thinking about all possible aspects, and including the argument both for and against different viewpoints.

You should:

An academic writing style is measured. By this, we mean that it’s:

  • Emotionally neutral
  • Formal – written in the third person and in full sentences
  • How to be measured

Your assignment needs to be evidence-based . You should:

  • Reference all the ideas in your work
  • Paraphrase your evidence
  • Apply critical thinking to your evidence
  • How to be evidence-based
  • How to paraphrase

Once you’ve found all your evidence, and have decided what to say in each section, you need to write it up as paragraphs.  Each paragraph should be on a single topic, making a single point.  A paragraph is usually around a third of a page. 

We find Godwin’s (2014) WEED model very helpful for constructing paragraphs.

W is for What

You should begin your paragraph with the topic or point that you’re making, so that it’s clear to your lecturer.  Everything in the paragraph should fit in with this opening sentence.

E is for Evidence  

The middle of your paragraph should be full of evidence – this is where all your references should be incorporated.  Make sure that your evidence fits in with your topic.

E is for Examples

Sometimes it’s useful to expand on your evidence.  If you’re talking about a case study, the example might be how your point relates to the particular scenario being discussed.

D is for Do

You should conclude your paragraph with the implications of your discussion.  This gives you the opportunity to add your commentary, which is very important in assignments which require you to use critical analysis. 

So, in effect, each paragraph is like a mini-essay, with an introduction, main body and conclusion.

Allow yourself some TIME to proofread your assignment.  You’ll probably want to proofread it several times. 

You should read it through at least once for sense and structure, to see if your paragraphs flow.  Check that your introduction matches the content of your assignment.  You’ll also want to make sure that you’ve been concise in your writing style. 

You’ll then need to read it again to check for grammatical errors, typos and that your references are correct.

It’s best if you can create some distance from your assignment by coming back to it after a few days. It’s also often easier to pick out mistakes if you read your work aloud.

Letter format might not be top of mind when you begin writing an important letter or email, but an appropriate presentation is critical to ensure your message is ultimately well received. A printed letter is usually reserved for important professional communications, such as recommendation letters, cover letters, resignation letters, and business correspondence, so you'll want to know how to write one professionally.

Correct formatting is especially important if you're sending a hard copy to the recipient rather than an email because the letter needs to fit the page, look professional, and be clear, concise, and easy to read.

Review information on what you need to include when writing a professional letter, examples, and advice on the appropriate font, salutation, spacing, closing, and signature for business correspondence.

Contact Information (Written Letter):  A written letter should include the contact information of both yourself and the recipient (name, title, company name, address, phone number, email), followed by the date.

Contact Information (Email):  When sending an email, you don’t need to include the recipient’s contact information. List your contact information at the end of the letter after your signature.

Greeting:  Address the letter using a professional greeting and formal title ("Dear Mr./Ms./Dr.").

Body of the Letter

The first paragraph of your letter  should provide an introduction as to why you are writing so your reason for contacting the person is clear.

In the  following paragraphs , provide specific details about your request or the information you are providing.

The  last paragraph  of your letter should reiterate the reason you are writing and thank the reader for reviewing your request. If appropriate, it should also politely ask for a written response or the opportunity to arrange a meeting to further discuss your request.

Closing the Letter

Use a formal sign-off , such as "Sincerely" or "Best regards."

Signature (Written Letter):  End the letter with your handwritten signature followed by your typed name.

Signature (Email):  Include your typed name followed by your contact information.

It’s important to include enough detail so the recipient understands why you’re writing and the response you expect to the letter.

Here’s a template for each section of a formal letter:

Greeting   Dear Mr./Ms. Last Name,

Use a  formal salutation , not a first name, unless you know the person well. If you do not know the person's gender, you can write out their full name. For instance, write, "Dear Pat Crody" instead of "Dear Mr. Crody" or "Dear Ms. Crody." If you do not know the recipient’s name, it’s still common and acceptable to use the old-fashioned “ To Whom It May Concern .”

Body of Letter

  • Paragraph 1: State the reason you are writing, for example, you are asking for something or sharing a piece of information.
  • Paragraph 2:  Provide details about your request or the information you’re sharing.
  • Paragraph 3:  If necessary, include additional information on the purpose of your letter.
  • Paragraph 4:  Thank the reader for considering your request, and ask for a response to your letter.

Professional letters should be simple, short, and written in business format using a traditional font.

  • Length of the Letter: Most formal letters are no more than one typed page.
  • Font Style and Size: Use a plain font such as Times New Roman, Arial, or Calibri. Your font size should be between 10 and 12 points.
  • Margins:  Use one-inch margins and left justify your text.
  • Spacing: Single-space your letter, and leave a space between each paragraph. Use one-inch margins and align your text to the left. Leave an extra space after the salutation, before the closing, and before and after your handwritten signature in a printed letter.
  • Printing the Letter:  Business letters should be printed on plain white paper.

Once you have written your letter, proofread it and carefully spellcheck it on the screen. Then, print it out and read it aloud at least one more time, checking for any errors or typos. This is important as it's often easier to spot errors on a hard copy. 

Reading your letter out loud is a good way to catch a mistake.

Check for formatting errors, such as two paragraphs that don’t have a space between them or lines that are indented incorrectly. Then, before putting your letter in an envelope, sign above your typed name using black or blue ink. 

If you’re emailing your letter, send a copy to yourself to be sure it’s perfect. Then send the final version to the recipient.

Print a copy of your written letter so you have it for your records. Your email will be saved in your “sent” email folder.

When your letter is ready to mail, fold it in thirds so it fits into a business-size envelope. You can use your word-processing program to print the addresses on the envelope or handwrite them. 

Print your name on the top-left corner of the front of the envelope. Print the recipient’s address in the center of the envelope, parallel with the long side. Add a stamp to the top right of the envelope.

A Trademark Assignment is a document used when one person owns a registered trademark (like a brand name or logo ) and wishes to transfer the ownership of that trademark to another person. Written Trademark Assignments are important, as it's best for both parties to have a memorialized record of the assignment.

Trademark Assignments allow the easy transfer of the mark. They contain all the information needed to record the assignment with the United States Patent Office (USPTO) . Recordation with the USPTO is necessary for all registered trademarks that are being transferred, and it is a good way to ensure everything flows smoothly with the assignment.

This is different than a Licensing Agreement , as here, the entirety of the mark is being transferred to a new party. In a Licensing Agreement, the mark still belongs to the original owner, but the other party pays royalties for permission to use it.

This is also slightly different than an Intellectual Property Release . Although that form could be used for a trademark, generally it is used for copyrighted material, like works of art or pieces of music. In that case, payment is not made and instead, the copyrighted works are simply "released," or given, to another party.

This document can also be distinguished from an Intellectual Property Permission Letter , as there, one party is writing to request permission to use the intellectual property of another. A Licensing Agreement or Intellectual Property Release or even Trademark Assignment could come after the Intellectual Property Permission Letter, but that is not a formal legal document, and is instead, a template for a letter to be used to have the initial conversation about intellectual property use.

How to use this document

This document can be used to transfer the ownership of an existing trademark or when an individual would like an existing trademark transferred to them, as long as the owner agrees. It should be used when both parties understand that the trademark will be completely assigned (in other words, this is not a license, as noted above, and no royalties will be due after the assignment) and wish to create a record of their agreement.

This document will allow the parties to fill in details of the mark to be transferred, as well as ensure that everything needed for recordation with the USPTO is present. Either party - either the person assigning the trademark or the person receiving the trademark - can fill out this form.

Once the form is complete, the parties can undertake the following steps:

1) Sign and execute the form in front of a notary (both parties)

2) Have the notarization completed

3) Record the Trademark Assignment with the United States Patent and Trademark Office

Trademark Assignments are related to the trademark law of the United States, which is covered by a federal statute called the Lanham Act. The section of the Lanham Act specifically referring to assignments is 15 U.S.C. § 1060(a).

A new Medical Center department teams up with the Humanities Center to foster collaboration on both sides of Elmwood Avenue.

A little over a year ago, Lainie Ross , Dean’s Professor and chair of the Medical Center’s Department of Health Humanities and Bioethics, crossed Elmwood Avenue and walked into Rush Rhees Library to pay a visit to Peter Christensen , the Ani and Mark Gabrellian Director of the Humanities Center.

Ross, a pediatrician and an ethicist with a PhD in philosophy, had arrived in Rochester just months earlier from the University of Chicago’s McLean Center for Medical Ethics. The Department of Health Humanities and Bioethics was brand new, and she had been hired to shape and lead it, along with the Paul M. Schyve, MD Center for Bioethics . Christensen, a scholar of architectural and urban design and the Arthur Satz Professor of the Humanities, was halfway through his first year heading the Humanities Center , and only its second director. Finding their footing in new roles, they each sought inspiration and a potential partner in elevating the profile and practice of the humanities across the University.

It was a fruitful meeting.

“We had a kind of immediate synergy,” says Christensen, who since January also serves as associate dean of the School of Arts & Sciences . “I was taken by her incredible initiative.”

Says Ross, “We met, and within five minutes, it was like we were old friends.”

They traded notes on everything from their shared roots as New Yorkers to their thoughts on the academic literature on hospital design. They found they harbored similar views about the relationship between the humanities and the life sciences.

Viewed through the modern academy’s operational lens, with its divisions into departments and programs, the humanities and the life sciences can seem to occupy separate universes. But seen in terms of the problems they address, they can be 
inseparable.

Ross describes the humanities as “embedded” in medical research and practice. And nowhere has that been more the case than at Rochester.

Elected to the National Academy of Medicine last year, Ross has written and presented internationally on ethical issues raised by organ transplantation, genetics and genomics, clinical research with human subjects, and multiple aspects of pediatrics. After three decades at Chicago, she’d grown frustrated.

“They had a very narrow role for ethics as just clinical ethics at the bedside,” she says of the school’s medical establishment. “I wanted [to see] a much broader, 360-degree role.”

She calls the opportunity that arose at Rochester “the perfect job,” and shares an oft-told story that’s still not widely known outside the University. In short, the School of Medicine and Dentistry was the birthplace of an influential approach to patient care and research called the biopsychosocial model.

With roots stretching back to the 1940s, the model was formally proposed and described by Medical Center psychiatrist George Engel in a landmark article, “The Need for a New Medical Model: A Challenge for Biomedicine” published in the journal Science in 1977.

The deceptively simple model transformed medical education. As Engel explained, a physician should not be trained to look exclusively at physiology as though a patient was best seen as a system of organs. “The physician’s basic professional knowledge and skills must span the social, psychological and biological, for his decisions and actions on the patient’s behalf involve all three,” he wrote, at a time when physicians were still overwhelmingly male.

The biopsychosocial model opened a door to collaboration between researchers in medical science and other disciplines, including the humanities. In 1981, the Medical Center established a Division of Medical Humanities, and Ross credits its first director, Kathryn Montgomery, a scholar of English literature, with a groundbreaking development. Montgomery’s book Doctors’ Stories: The Narrative Structure of Medical Knowledge (Princeton University Press, 1991) “is sort of the precursor to all of narrative medicine,” Ross says, alluding to a type of medical practice that considers the role of storytelling—the patient’s, the doctor’s, and the interaction between the two that creates yet another narrative that guides clinical decision making.

Under the leadership of its last director, physician and art historian Stephanie Brown Clark , the division expanded into the arts, partnering with the University’s Memorial Art Gallery , and more recently, with the Eastman School of Music .

As Ross puts it, the Medical Center “was among the first in the country with a humanities division, and now, is one of just eight academic medical centers in the nation to have a dedicated humanities and bioethics department.”

The decision to elevate a division into a department is no mere administrative detail. It has allowed Ross the chance to develop that “360-degree role” for ethics in a way she couldn’t at Chicago. She calls Mark Taubman , the CEO of the Medical Center and dean of the medical school until he stepped down this past year to resume his position in cardiology, “visionary” in making the critical decision.

“One of the most important things I do is what I call embedding,” Ross says. Health humanities and bioethics “have to be embedded across the entire clinical and research spectrum.”

That means standing on an equal footing with clinical departments.

“If you’re doing a lecture on neurology, I want to be included, because I’ll talk about determinations of death and the ethical issues [that presents],” she says. “If you’re talking about cardiology, I’m going to talk about the ethics and humanity of what it means to get somebody else’s heart in a heart transplant. No matter what area of medicine you talk about, I can come up with an ethical issue. And if I can’t, I can just go back to the fundamental doctor-patient relationship, because that’s a moral relationship.”

By addressing the ethical implications of medical research and practice, she has been able to bring additional grant funding to Medical Center researchers. “When you write a grant, you have to be innovative,” she says. “By bringing in an ethics component, we’re saying, ‘we’re doing great science, but what are its implications?’ ”

But Ross didn’t want such embedding to be limited to ethical philosophy or to the Medical Center. That’s why, she says, “I reached over to Peter.”

When Christensen met Ross, he was about a semester into his role leading the Humanities Center. He was at a busy and productive point in his career. A specialist in architecture and urban design, his second book, Precious Metal: German Steel, Modernity, and Ecology (Penn State University Press, 2022), had just come out, and another, Prior Art: Patents and the Nature of Invention in Architecture (MIT Press, 2024), was at press.

The Humanities Center was established in 2015, and its inaugural director, Joan Shelley Rubin , the Dexter Perkins Professor of History, articulated a set of values as part of its mission, describing them as “some of the gifts the humanities provide: deeper understanding of ourselves and others, along with the sense of collective welfare essential for democracy to thrive.” Under her leadership, the center brought in new scholars as fellows, created forums for scholars across disciplines to share perspectives, and sponsored a faculty-led, reading-and-discussion summer program called Experiencing Civic Life for select high school students in the Rochester City School District, among other programs and initiatives.

From that footing, Christensen’s charge was to expand the center’s role. New initiatives launched in the past year include the Scholar in Exile program and a global book series, Humanities in the World , in cooperation with the University of Rochester Press.

And he’s asked, what more could the humanities be doing—literally? He points to an assumption about the humanities with deep roots, but one that he believes needs rethinking.

In Western culture at least, starting with the 18th-century Enlightenment period, the humanities came to be thought of as the study of “what defines the human experience,” he says. “And that is why music is a humanity, but it’s also why literature is, and why art is, and why philosophy is. These are all things that only we can do, right? That animals and nature can’t do. This is what defines us as a species and what defines the human experience.”

That was still the idea at the dawn of the 20th century. But within the rapidly growing academy, Christensen says, “it became associated with thinking versus doing. We actually need to think also about what the humanities can do.”

In that vein, Ross’s arrival could not have come at a better time. Medicine is fundamentally about doing—caring, healing, and improving the quality of life in the most elemental sense. Christensen had already been interested in connecting with colleagues in medicine for that very reason. Ross was someone who saw a humanistic discipline—ethical philosophy—as part of every aspect of clinical care and research.

During that first meeting, Christensen disclosed to Ross something that had been weighing on his mind.

“A dear friend of mine had just been diagnosed with a stage 3 brain tumor at the age of 40,” he says. “I was really struggling with all that that meant about dying young, or potentially dying young, and about your life being turned upside down.”

Ross recalls that point in the conversation well. “I said, ‘You know, what you’re experiencing is anticipatory grief. We talk about this all the time in medicine.’ ” Their conversation turned to the universality of grief. And by the time the meeting was over, they had a plan for their first collaboration.

They called it, simply, the grief series . Through the 2023–24 academic year, Ross and Christensen have brought before the University authors, musicologists, poets, physicians, and photographers to discuss grief over sudden loss; the connection between music and mourning; a doctor’s experience declaring a child dead; grief in the face of violence and social injustice as experienced in Black communities, and more. The series invited faculty, students, and staff “to expand our networks exploring this complex topic as one university.”

Susan Dodge-Peters Daiss , a senior associate in the Department of Health Humanities and Bioethics, calls the series “a daring first move” in what promises to be a vibrant collaboration between the department and the center, extending to other areas of the University over time.

Daiss was the inaugural McPherson Director of Education at the University’s Memorial Art Gallery and trained as a hospital chaplain at Strong Memorial Hospital. In 2002, she and Clark cocreated a course using art as a means for medical students and clinicians to enhance their skills of observation. More recently, she created Art at the Bedside , offering patients a chance to look at works of art as a means to reduce anxiety and fear. She recalls “sitting beside a woman who was dying, who would never be outside again. And we went on walks in the woods together, thanks to artwork.”

“This is an important collaboration,” Daiss says. In choosing a theme with universal relevance, “we’re showing that whether you’re a historian, a political scientist, a psychologist, a musician, or a clinician, we can all share ideas.”

But there is a method at work when it comes to turning ideas into action. Ultimately, the hope is that the collaboration will lead to new research. But that takes time, says Ross, who has a philosophy about how research germinates. “You can’t get to research until you have relationships,” she says. “The first step of trying to do research that spans the Medical Center and the River Campus is to develop relationships.”

Relationships, perhaps, like the one that has arisen between her and Christensen.

Like old friends and colleagues, Christensen and Ross don’t always agree, and their back-and-forth can help refine their thinking. Christensen observes that in the contemporary United States, there’s a stigma against expressing grief, yet none against expressing anger. As a result, people may “bypass grief and express it as anger.”

He asks Ross what she thinks, and she replies, “Well, sort of.”

“I’m going to go all Kübler-Ross on you,” she says to him, referring to the University of Chicago professor Elisabeth Kübler-Ross who identified and articulated five stages of grief: denial, anger, bargaining, depression, and acceptance. “We’re sort of stuck in our anger stage, rather than going through the five stages. And you don’t have to go through the five stages in order. Grief encompasses a lot of different emotions, not just one.” When grief gets expressed communally, there can be real beauty in that experience, says Ross.

Later in their conversation, Christensen returns to that thought. “It reminds me a bit of the art historical concept of the sublime,” he says. He offers “a nutshell version” of the concept as described by the 18th-century German philosopher Immanuel Kant: “a mix of awe and fear and beauty that you experience when looking over the top of a mountain, for example. It’s not about positive or negative emotions but about profundity of emotions.”

Ross and Christensen report hearing from colleagues and people in the community inspired by the grief series to converse and connect with others. In that spirit, the scholars are exploring the next joint venture for the department and the center.

“I think Lainie and I have some fun topics that we want to deal with,” says Christensen. “Our lives have joy, right? Joy, being the opposite of grief—maybe we want to get there at some point.”

One of the biggest record labels in the world is issuing notices warning hundreds of companies not to train artificial intelligence models on its content without permission.

Sony Music Group — which owns such well-known labels as Columbia Records, RCA Records and Epic Records — has started sending formal letters to more than 700 generative AI companies and streaming platforms prohibiting them from mining text or data, web scraping or otherwise using any SMG content without explicit licensing agreements.

That covers a wide variety of content, including audio recordings, musical compositions (including lyrics), cover artwork and metadata, according to a copy of the letter obtained by NBC News.

In its letter, SMG said it recognizes the “significant potential and advancement” of AI.

"However, unauthorized use of SMG Content in the training, development or commercialization of AI systems deprives SMG Companies and SMG Talent of control over and appropriate compensation for the uses of SMG Content, conflicts with the normal exploitation of those works, unreasonably prejudices our legitimate interests, and infringes our intellectual property and other rights," it wrote.

Such activity “conflicts with the normal exploitation of those works, unreasonably prejudices our legitimate interests, and infringes our intellectual property and other rights," the letter says.

Asked for comment, a spokesperson for SMG referred NBC News to a declaration the company posted online Thursday.

“Evolutions in technology have frequently shifted the course of creative industries. AI will likely continue that long-standing trend,” it wrote in the post. “However, that innovation must ensure that songwriters’ and recording artists’ rights, including copyrights, are respected.”

The letter asks companies either to confirm that they have not used SMG content without permission or, if they have, to provide details about how the content was used in AI training.

The European Union’s Artificial Intelligence Act, the world’s first comprehensive AI law, which passed in March, includes a clause requiring providers of general-purpose AI models to make public a “sufficiently detailed” summary of the content used to train those models.

Concerns around the use of AI have plagued the music industry in recent months as the rapid proliferation of generative AI tools makes it easier than ever for anyone to scrape copyrighted content to produce AI-generated music.

While regulations protecting human-made work still lag in the U.S., many companies have begun to negotiate their own agreements around the licensing of their content for AI model training. Some have also sued AI companies , claiming their AI models were trained on copyrighted materials.

Some tracks that appear to use AI-generated vocals have already popped up online. Last year, a viral song called “heart on my sleeve,” created by an anonymous musician who goes by "ghostwriter,” featured vocals that sound like those of Drake and The Weeknd. It was quickly taken down from streaming services because of a copyright claim by Universal Music Group.

In April, Drake released “Taylor Made Freestyle,” which featured the AI-generated voice of the late rapper Tupac Shakur . The diss track was removed from Drake’s X and Instagram accounts days after Shakur’s estate  threatened to sue him .

Warner Music Group CEO Robert Kyncl testified last month before the Senate Judiciary subcommittee on intellectual property to advocate for legislation that would protect against using nonconsensual deepfakes.

“Our fundamental position on AI is simple. Everyone should have the right to decide how their own name, likeness and voice is used,” Kyncl said in prepared remarks . “These characteristics are the very foundations of our individuality — they are not simply data to be taken and used by others. Each person’s identity must not be used in ways that they would never condone or wish to participate in.”

Artists are also pushing for protections against AI. More than 200 artists signed an open letter last month calling on AI developers, tech companies and digital music services to pledge not to use AI in ways that “undermine or replace the human artistry of songwriters and artists.”

Letter to the editor: We can end homelessness

In response to Roger Powell’s recent letter, it’s evident there is skepticism about whether our community can effectively address homelessness. Justice Matters has long been advocating for the Built for Zero model, and we are thrilled to see it incorporated in “A Place for Everyone.” Built for Zero is a movement made up of more than 100 cities and counties that have committed to measurably ending homelessness. So far, 14 of those communities have ended homelessness by reaching a standard called functional zero. More than half of those cities and counties have achieved reductions in the number of people experiencing chronic and veteran homelessness.

This solution costs less for taxpayers, because managing homelessness with frequent ER visits and jail stays is much more expensive than simply providing the stabilizing force of housing and supportive services when needed. This plan is not just throwing money at the problem; it’s implementing sustainable solutions that address the root causes of homelessness, such as lack of affordable housing. Increasing affordable housing will benefit many, both housed and unhoused.

Study impact of hotels on Siesta traffic

On Jan. 30, three Sarasota County commissioners voted against a proposal by Commissioners Mark Smith and Joe Neunder to develop and validate a Transportation Microsimulation Model of pedestrian and vehicular traffic on Siesta Key and its two access roads.

It would appear that the opposing commissioners − Mike Moran, Neil Rainford and Ron Cutsinger − did so because they do not want residents to see how much harder it will be to get on and off the key, let alone travel north or south, if new hotels are built.

They support Benderson Development's request to change the Siesta Key Comprehensive Plan that would immediately allow numerous high-rise hotels to be built.

We the people need to demand that this model be developed and validated so we all, as well as the commissioners, get an honest assessment of the implications of all of these hotel projects, rather than looking at traffic impacts one project at a time.

There is already a Siesta Key Comprehensive Plan Change approval process underway that would accommodate these hotels. We need to let these commissioners know that if they approve any Comp Plan changes without the proper analysis, using such a model, there will be litigation to overturn them.

Without Roe v. Wade, lives, health at risk

Two years ago, I wrote a letter expressing my concerns after the Supreme Court’s Dobbs decision . I shared my story of having to carry a dead fetus to term in the 1960s.

I was only spared because my doctor broke the law, and possibly saved my life, by performing a medically necessary abortion.

Sadly, my worst fears have come to pass. A patchwork of state rulings denies abortion to women.

The exceptions for rape, incest or life of the mother do not work; they are too vague and doctors are afraid of running afoul of these laws.

We have heard multiple stories of women who had to flee to other states to save their own lives. On May 1, Florida joined this shameful group by outlawing abortion after six weeks , with few exceptions.

I urge you to keep these barbaric facts in mind and vote this fall for people who recognize women’s health, including abortion, as a fundamental right.

Vote in favor of Amendment 4 to restore these rights to women in Florida.

Outrage drives protests, not antisemitism

On the morning of Oct. 8, 2023, millions of American Jews, and millions of their non-Jewish friends (like me), experienced the realization of a world sharply darkened overnight: horror and pain at the previous day’s Hamas atrocity and momentous dread regarding the likely response of the Netanyahu government. 

Regarding the latter, our worst fears have been realized, unendingly. As a result, Israel’s reputation has taken a deep dive, and Jews the world over are endangered. 

It is against this background that I read the May 12 column by Temple Beth Sholom Rabbi Stuart Altshuler , a prominent leader in our Jewish community.

Rabbi Altshuler characterizes the current pro-Palestinian protests as fundamentally antisemitic, referring to the “‘Go Back to Poland’ shouts by the protesting anti-Israel/pro-Hamas mobs on college campuses.” 

Yes, that shout was heard, albeit rarely, and never (so far as I have seen or heard) as a communal chant. That rabid antisemites exist, and are glad for the opportunity, should surprise no one.

That antisemitism is the driver of these protests, however, is simply wrong. It is sincere outrage at the monstrous, needless cruelty of the Netanyahu government. 

Since the Oct. 7 attack, some 35,000 Palestinians have died, while less than 300 Israeli soldiers have lost their lives. 

Thousands have died in Gaza when bombs were deliberately dropped on multistory apartment buildings on the flimsy pretext, although physically accurate, that a Hamas tunnel coursed under the building.

Yet not one word of Rabbi Altshuler’s column is devoted to the heartrending plight of the Palestinians in Gaza. 

His column is directed at combating antisemitism; it only feeds it. His friends should assist him to remove the scales from his eyes.

Don't ignore GOP-antisemitism links

Really? When it is politically beneficial, the outrage over antisemitism comes from all corners of the Republican Party.

Where were Republicans when then-President Donald Trump said, after the white supremacist rally in Charlottesville, that there were “very fine people” on both sides?

Where was the outcry when Trump told the Proud Boys to “stand back and stand by”?

Where were the loud Republican voices when Trump had lunch at Mar-a-Lago with antisemitic rapper Kanye West and white nationalist Nick Fuentes, a Holocaust denier?

Now Trump tells me that if I vote for Biden, I must hate my religion. Funny, his other comments suggest that he is actually the one who hates my religion.

I guess I’ll keep waiting for the Republicans to speak when it really counts.
