An assignment agreement is a legal document that transfers rights, responsibilities, and benefits from one party (the “assignor”) to another (the “assignee”). You can use it to reassign debt, real estate, intellectual property, leases, insurance policies, and government contracts.

An assignment agreement effectively transfers the rights and obligations of a person or entity under an initial contract to another. The original party is the assignor, and the assignee takes on the contract’s duties and benefits.

It’s often a requirement to let the other party in the original deal know the contract is being transferred. It’s essential to create this form thoughtfully, as a poorly written assignment agreement may leave the assignor obligated to certain aspects of the deal.

The most common use of an assignment agreement occurs when the assignor no longer can or wants to continue with a contract. Instead of leaving the initial party or breaking the agreement, the assignor can transfer the contract to another individual or entity.

For example, imagine a small residential trash collection service plans to close its operations. Before it closes, the business brokers a deal to send its accounts to a curbside pickup company providing similar services. After notifying account holders, the latter company continues the service while receiving payment.

Create a thorough assignment agreement by including the following information:

  • Effective Date:  The document must indicate when the transfer of rights and obligations occurs.
  • Parties:  Include the full name and address of the assignor, assignee, and obligor (if required).
  • Assignment:  Provide details that identify the original contract being assigned.
  • Third-Party Approval: If the initial contract requires the approval of the obligor, note the date the approval was received.
  • Signatures:  Both parties must sign and date the printed assignment contract template once completed. If a notary is required, wait until you are in the presence of the official and present identification before signing. Failure to do so may result in having to redo the assignment contract.

Review the Contract Terms

Carefully review the terms of the existing contract. Some contracts may have specific provisions regarding assignment. Check for any restrictions or requirements related to assigning the contract.

Check for Anti-Assignment Clauses

Some contracts include anti-assignment clauses that prohibit or restrict the ability to assign the contract without the consent of the other party. If there’s such a clause, you may need the consent of the original parties to proceed.

Determine Assignability

Ensure that the contract is assignable. Some contracts, especially those involving personal services or unique skills, may not be assignable without the other party’s agreement.

Get Consent from the Other Party (if Required)

If the contract includes an anti-assignment clause or requires consent for assignment, seek written consent from the other party. This can often be done through a formal amendment to the contract.

Prepare an Assignment Agreement

Draft an assignment agreement that clearly outlines the transfer of rights and obligations from the assignor (the party assigning the contract) to the assignee (the party receiving the assignment). Include details such as the names of the parties, the effective date of the assignment, and the specific rights and obligations being transferred.

Include Original Contract Information

Attach a copy of the original contract or reference its key terms in the assignment agreement. This helps in clearly identifying the contract being assigned.

Execution of the Assignment Agreement

Both the assignor and assignee should sign the assignment agreement. Signatures should be notarized if required by the contract or local laws.

Notice to the Other Party

Provide notice of the assignment to the non-assigning party. This can be done formally through a letter or as specified in the contract.

File the Assignment

File the assignment agreement with the appropriate parties or entities as required. This may include filing with the original contracting party or relevant government authorities.

Communicate with Third Parties

Inform any relevant third parties, such as suppliers, customers, or service providers, about the assignment to ensure a smooth transition.

Keep Copies for Records

Keep copies of the assignment agreement, original contract, and any related communications for your records.

Here’s a list of steps on how to write an assignment agreement:

Step 1 – List the Assignor’s and Assignee’s Details

List all of the pertinent information regarding the parties involved in the transfer. This information includes their full names, addresses, phone numbers, and other relevant contact information.

This step clarifies who’s transferring the initial contract and who will take on its responsibilities.

Step 2 – Provide Original Contract Information

Describing and identifying the contract that is effectively being reassigned is essential. This step avoids any confusion after the transfer has been completed.

Step 3 – State the Consideration

Provide accurate information regarding the amount the assignee pays to assume the contract. This figure should include taxes and any relevant peripheral expenses. If the assignee will pay the consideration over a period, indicate the method and installments.

Step 4 – Provide Any Terms and Conditions

The terms and conditions of any agreement are crucial to a smooth transaction. You must cover issues such as dispute resolution, governing law, obligor approval, and any relevant clauses.

Step 5 – Obtain Signatures

Both parties must sign the agreement to ensure it is legally binding and that they have read and understood the contract. If a notary is required, wait to sign off in their presence.

About this assignment agreement

Use this assignment agreement to transfer one or more contracts between two parties where the agreement of the party to the original contract cannot easily be obtained or where the original agreement allows transfer without the consent.

This form of assignment is most commonly used when a large number of contracts are transferred from one business to another, for example  when a telephone service provider sells its Republic of India contracts or a white goods retailer sells its maintenance contracts.

When to use this assignment agreement

The basic law is that A cannot transfer to C the obligations he has under a contract with B, without B agreeing. So what happens is that all three enter into a “novation” agreement whereby the proposed transfer is made with B’s permission.

Most businesses that need to set up multiple contracts make sure the terms of the contract allow them to assign the contract without permission of B. In those cases, an agreement like this one can be used.

If your multiple agreements do not include this provision, you may still wish to use this agreement and take the small risk that some subscribers or users may walk away. If they do not, but instead carry on as before and make their next payment to the new owner, they are, in law, affirming the contract with the new owner, and all is well.

So a novation should be used where practicable and assignment is the fallback where there is a large number of contracts or where novation is unnecessary because all the contracts permit assignment anyway.

Whether or not the customers stay or go after the assignment is very important. The exact tone to use in a letter or message is important. So we include with this assignment agreement a letter template to send to customers informing them of the change.

How to use this template

Before using this document, make sure that the assignment has all the necessary permissions from another party called the Obligor. The agreement contains important information about the identity of all the parties, the duration of the original agreement, and whether the Obligor's consent is required before the original agreement can be granted. If consent is required, indicate the form in which the Assignor obtained it and when.

If the Agreement involves a transfer of the land between parties, the document will include information on where the property is located, as well as for the document to be recorded in the county's official records, and the notary page customized for the land's location so that the material can be notarized.

The completed document should be signed, dated, and all Parties should keep a copy by themselves. If the Agreement concerns the transfer of the land, the Agreement is then notarized and taken to be recorded so that there is an official record that the property was transferred.

Applicable law

Common law in the Second Restatement of Contacts (the Restatement) governs the assignment of contracts that include the provision of services. The Restatement is a non-binding authority in all of U.S common law in the area of contracts and commercial transactions. Though the Restatement is non-binding, it is frequently cited by courts in explaining their reasoning in interpreting contractual disputes.

A contract assignment agreement is a document that transfers the contractual rights and duties of one party to another. The other party involved in the contract must agree to the terms of the transfer as well as they will now be in a contractual agreement with a different party.

Contract of assignment agreements must not violate any other laws or statutes in order to be enforced. The original contract must also allow assignments, or at least not explicitly prohibit them. Contract of assignment agreements cannot alter what is expected from the original contract.

A Service Agreement is a contract that governs the provision of services for payment or other consideration. It can be used by any person or organisation which provides any type of service . Some examples include people or entities engaged in the business of building and construction, and electrical work as well as coaching, personal training, consulting, and professional services.

This is a general service agreement and can be used for entering into any type of service transaction.

While Service Agreements simplify the process for resolving disputes, they also prevent many disputes from arising in the first place . They do this by forcing the parties to discuss and record the key elements of the arrangement upfront, which is why it is pertinent to enter into a written service agreement.

Contractor v Employee

People or businesses using this document may need to consider the difference between a contractor and an employee. This Service Agreement enables a service provider to be hired as a contractor . This is different from an employment agreement , which would enable the service provider to be hired as an employee and would require the provision of all kinds of benefits under labour laws.

The difference between an employee and a contractor is based on many factors such as the extent of control , whether the contractor is permitted to work with other clients, whether it chooses its own equipment to provide the services and whether the work can be sub-delegated, and no single factor is determinative. Simply using this Service Agreement is not enough to convert an employee into a contractor. Instead, the courts will look at the entire arrangement, and decide whether the service provider is working within the business, as part of the business (like an employee with very little control) or whether the contractor is running their own business (like a contractor).

How to Use This Document?

This Service Agreement can be set up to deal with either an ongoing arrangement for the provision of services or a one-off project.

In either case, the more details that can be provided regarding the various details of the arrangement, the more likely it is that disputes will be prevented. Some important details to be considered include:

- description of the work to be performed - how it will be determined that the work is complete and whether there are any milestones - when payment will be released - how the agreement may be terminated. Either party may terminate this agreement using a Services Termination Notice . - what parties should do in the case of disputes

Service providers should provide a new Service Agreement every time they undertake a new project, although a "project" may be ongoing indefinitely, (e.g. maintenance services). A separate Service Agreement will also need to be provided to every different client.

The Service Agreement will be legally binding when it has been printed on non-judicial stamp paper or e-stamp paper, and signed by both the service provider and the client . The value of the stamp paper would depend on the state in which it is executed . Each state in India has provisions in respect of the amount of stamp duty payable on such agreements. Information regarding the stamp duty payable can be found on the State government websites.

Both the service provider and the client should keep a signed copy of the Service Agreement . To do this, two different copies can be signed, or if only one copy is signed, it can be photocopied and then distributed between the parties.

Applicable Law

The principles of the contract under the Indian Contract Act, 1872 would govern these agreements. Further, the Consumer Protection Act, 2019 , also applies to all goods and services, excluding goods for resale or for commercial purposes and services rendered free of charge and under a contract for personal service. It protects the rights of customers such as the right to be informed, the right to safety etc.

Goods and Services Tax (GST) applies to the supply of services at different rates for different categories of services, other than a few exempt services. More information can be found on the GST Portal .
